Board of Directors
The highest authority that governs the working of the company.
Number of Meetings
Minimum of 4 meetings per year, not exceeding 120 days apart, with the first meeting within 30 days of incorporation.
Modes of Meeting
Meetings can be held in person, via video conferencing, or through other audio-visual means.
Notice Requirements
Written notice must be delivered to each director at least 7 days in advance, via hand, post, or electronically.
Quorum
Minimum one-third of directors or two directors, whichever is higher, must be present to conduct a meeting.
What is the exception for immediate meetings of the Board of Directors?
Immediate meetings are possible with one Independent director present.
What is the recording requirement for meeting minutes?
Minutes must be recorded within 30 days and kept for 7 years.
