SECTION 94(2) – INSPECTION OF REGISTERS

Registers, thier indices and copies of annual returns, except when they are closed, shall be open for inspection during business hours, at such reasonable time, on every working day:

For members, deb holder, other secs holder – free of charge.

For otherson payment, fee to be as per AoA, not exceeding ₹50 per inspection.

Quorum = 5 members personally present

If number of members > 1000 but ≤ 5000:

Quorum = 15 members personally present

If number of members > 5000:

Quorum = 30 members personally present

Section 111 – Circulation of Members’ Resolution

1) Prerequisites for Valid Requisition Must be in writing and signed

2) ELIGIBILITY:

• Co. with share capital: Requisitionists must hold ≥ 1/10th of paid-up share capital with voting rights.

• Co. without share capital: Requisitionists must represent ≥ 1/10th of total voting power

3) COPIES:

At least 2 or more copies, signed by all requisitionists.

4) TIME LIMITS:

• If requisition requires notice of resolution: Must be deposited ≥ 6 weeks before meeting.

• In other cases: Must be deposited ≥ 2 weeks before meeting

5) EXPENSE AMOUNT:

A reasonable sum to cover company’s expenses in giving effect to the resolution must be deposited or tendered.

6) RELAXATION:

Time limits above need not apply if AGM is to be held within 6 weeks of requisition
